Terms & Conditions

1. Prices

Prices are NET wholesale cost and are all FOB point of origin. Point of origin will be designated on the written confirmation of the order. Net prices do not include shipping charges, storage, local delivery, uncrating and/or installation, cartoning, packing and crating charges, or sales tax. Quoted prices are valid for ninety (90) days unless other arrangements are made in writing. Prices are subject to change without notice.

2. Payment Terms

A 50% deposit is required for all orders. The balance is due in full upon completion, prior to shipping. Balances remaining unpaid after 30 days from date of invoice are considered delinquent and subject to a combined interest and service charge of 1½% per month and may be subject to additional fees or storage charges of 5% of net price per month and must be paid in full prior to delivery.

3. Customer's Own Material / Leather (C.O.M. / C.O.L.)

Yardage requirements shown are based on 54" plain goods. Costantini reserves the right to make an additional charge if purchaser's cover material requires special handling. If so, Costantini will notify purchaser before proceeding.

4. Orders

All orders must be in writing and signed by purchaser and are subject to final acceptance by Costantini. By placing an order, the purchaser acknowledges and agrees to these Terms and Conditions in their entirety.

5. Finishes

Wood is a natural material and as such may vary in color, grain, and texture, and no warranty is given in connection therewith. Sample finishes are representative only and final color or overall appearance may vary from approved samples. Costantini makes every effort to match finishes as closely as possible, but natural variations are inherent to handcrafted furniture and are not considered defects.

6. Custom Design Terms

Costantini retains all rights to all custom designs made for clients. If a client wishes to retain the rights of a custom design, fees start at a rate of $2,000. Based upon the complexity of the work, this rate may be higher. The client must notify Costantini in writing of its intent to purchase the rights to a custom design prior to commencement of services. A client cannot purchase such rights after Costantini begins design services.

7. Confirmation & Cancellation

All orders are final upon written confirmation and supersede all prior oral and written statements. A 25% service charge will be incurred for any standard line item canceled after production begins and only with prior written approval from Costantini. Custom orders cannot be canceled after production begins. All orders are acknowledged at net prices. All orders are subject to availability. Shipping dates on any quotation or acknowledgement are estimates only.

8. Changes to Orders

Changes in any order are subject to prior written approval by Costantini. Changes may increase cost and/or cause a delay in shipping. Costantini will notify the purchaser of any additional cost or delay resulting from changes to the order.

9. Shipping

Shipments are released at F.O.B. point of origin to the purchaser's carrier in new and good condition. Title and all risk of damage or loss transfers to the purchaser at that moment, and no responsibility for loading is assumed by Costantini. Costantini is not responsible for damage incurred in loading, transit, or storage.

Purchaser must provide the exact details of shipping arrangements on written order. If no carrier is designated, Costantini will use its best judgment in selecting a "best way" carrier on behalf of the purchaser, with no liability for such carrier. Transit times are usually between 1–2 weeks in addition to production lead times which usually run between 2–24 weeks. Lead times are approximate and may run longer.

10. Returns

Custom items are not eligible for returns. No returns will be accepted without prior written authorization. Authorized returns must be shipped in accordance with shipping instructions provided by Costantini. Unauthorized returned merchandise will not be accepted and will be returned to the shipper freight collect.

Returned merchandise requiring repair of any kind may be subject to additional charges or full charges. Costantini is not liable for cost of shipping for repairs and/or replacement. Replacement timelines will be similar to normal lead times which usually run between 2–24 weeks depending on the product.

11. Product Specifications & Variations

Measurements may vary from those given and are provided for general reference only. Costantini reserves the right to change, modify, or improve designs, specifications, and details without prior notice. Due to the handcrafted nature of our furniture, minor variations in dimensions, color, grain, and texture are normal and are not considered defects.

12. Freight Handling & Damage Claims

Purchaser or their agent must inspect thoroughly all merchandise upon receipt. It is the purchaser's responsibility to file any damage claim with the carrier at that time, or within the guidelines of the carrier. Purchaser should note any visible damage to packaging at time of receipt in order to file a claim with the carrier. In case of damage, purchaser shall notify Costantini by email at info@costantinidesign.com within 48 hours of receipt of merchandise.

13. Force Majeure

Costantini is not liable for any delays or inability to deliver any merchandise ordered when such delay or inability is due to labor disputes, war, riot, fire, flood, pandemic, epidemic, government restrictions, supply chain disruption, or any other cause beyond our reasonable control.

14. Limitation of Liability

Costantini shall have no liability for any damage or injury resulting from any use of Costantini furnishings other than the intended use. In all events, Costantini's total liability arising from or related to any order shall be limited to the purchase price of the specific furnishing giving rise to the claim. Costantini shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, or anticipated savings, even if Costantini has been advised of the possibility of such damages.

15. Intellectual Property

All content on the Costantini website — including but not limited to product designs, photographs, text, graphics, logos, and trademarks — is the exclusive property of Costantini Design LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. No content may be reproduced, distributed, modified, or used for any commercial purpose without the prior written consent of Costantini. The Costantini name, logo, and all related marks are registered trademarks of Costantini Design LLC.

16. Website Use

By accessing and using the Costantini website, you agree to use the site solely for lawful purposes and in a manner consistent with these Terms. Costantini makes every effort to display product colors, finishes, and materials as accurately as possible, but actual appearance may vary due to differences in monitors, screens, and photographic conditions. Website content is provided for informational purposes only and does not constitute a binding offer.

17. Indemnification

You agree to indemnify, defend, and hold harmless Costantini Design LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of any Costantini product, or your violation of any applicable law or regulation.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Amendments

Costantini reserves the right to update, modify, or replace these Terms at any time. Changes will be effective upon posting on this page with a revised "Last Updated" date. Your continued use of the website or placement of orders after any changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
